I Consigli d’amministrazione di Banca Sella e della capogruppo Banca Sella Holding hanno deliberato di presentare un’offerta sul 50% del capitale di Hype detenuto da illimity Bank, recentemente acquisita da Banca Ifis, secondo la procedura prevista nei patti parasociali della joint venture paritetica.

Ricevuta l’offerta, illimity Bank ha comunicato la decisione di cedere il 50% di Hype. Tale quota sarà quindi acquistata da Banca Sella per 85 milioni di euro, importo determinato sulla base della valutazione di uno degli esperti indicati nei patti parasociali. Contestualmente Banca Sella ha deliberato di acquistare anche il restante 50% del capitale detenuto dalla capogruppo Banca Sella Holding, con l’obiettivo di procedere alla fusione per incorporazione di Hype.

L’operazione, soggetta all’autorizzazione di Banca d’Italia e delle Autorità competenti, rientra nei piani di crescita e sviluppo del Gruppo e della banca e ha l’obiettivo di potenziare ulteriormente il posizionamento e le strategie sia di Banca Sella, che di Hype, attraverso l’arricchimento e l’integrazione delle rispettive offerte. L’operazione, infatti, è finalizzata a rafforzare la competitività di entrambe, in segmenti di mercato complementari e caratterizzati da forte innovazione.

Banca Sella, che sta conseguendo un’ulteriore importante crescita delle quote di mercato puntando su un modello tradizionale basato sulla relazione personale, integrando Hype, la cui offerta rimarrà indipendente e distinta, potrà rafforzarsi intercettando con maggiore efficacia le esigenze delle generazioni native digitali e di coloro che privilegiano un’esperienza completamente digitale, tecnologicamente avanzata e AI driven.

Hype, nata nel 2015 proprio in Banca Sella e oggi Istituto di Moneta Elettronica che conta 1,9 milioni di clienti, grazie all’integrazione con la banca potrà rapidamente incrementare la propria gamma di offerta e avvalersi anche della rete di succursali, in risposta alle esigenze evolute dei clienti, mantenendo le caratteristiche peculiari della sua esperienza d’uso.

Il progetto consentirà inoltre di ottimizzare gli investimenti per l’innovazione tecnologica e di accelerare lo sviluppo di soluzioni basate sull’intelligenza artificiale, a beneficio dei clienti.

L’operazione genererà sul Cet1 di Banca Sella un impatto pari a -3,46% che verrà neutralizzato dalle ottimizzazioni patrimoniali in corso di realizzazione, mantenendo comunque il livello del coefficiente patrimoniale a fine anno superiore al 20%.
