Biauto, dealer torinese specializzato nel segmento premium con una storia di oltre 100 anni, ha emesso la prima tranche da 5 milioni di un sustainability-linked bond, con possibilità di riapertura nei successivi 12 mesi dalla data di emissione, per sostenere lo sviluppo del piano industriale e il consolidamento del proprio business.

Sella, attraverso la propria divisione specializzata in operazioni di finanza straordinaria Sella Investment Banking, ha assistito Biauto come arranger dell’operazione e advisor finanziario esclusivo dell’emittente. La prima tranche è stata sottoscritta da Banca Sella per l’importo di 2,5 milioni di euro, da Banco di Desio e della Brianza per 1,5 milioni e da Banca di Asti  per 1 milione. Lo studio legale Gianni & Origoni ha assistito i sottoscrittori e Bdo Law ha assistito Biauto. Cerved Rating Agency ha rilasciato una second party opinion (SPO) sull’allineamento dei KPI di sostenibilità identificati, in coerenza con i principi e le linee guida dell’ICMA (International Capital Market Association).

L’emissione è finalizzata a sostenere i costi legati all’acquisizione del ramo di azienda della concessionaria Autocrocetta, nonché a finanziare gli investimenti funzionali ad una sua corretta integrazione all’interno del perimetro operativo di Biauto. L’operazione rafforza il posizionamento del gruppo Biauto nell’area nord-ovest, dando vita ad uno dei principali dealer in Italia.

I titoli sono quotati sul segmento professionale di Euronext Access Milan. L’emissione ha una durata di 7 anni ed è caratterizzata da 12 mesi di pre-ammortamento ed un piano di rimborso a quote capitale costanti.

Il sustainability-linked bond prevede l’identificazione di specifici Sustainability Performance Targets (SPTs), nonché la definizione di KPI di sostenibilità (KPI ESG) che permettono di valutare l’allineamento del progetto di investimento agli obiettivi di sviluppo sostenibile. Al raggiungimento di tali obiettivi, è prevista una riduzione del tasso di interesse applicato sullo strumento (il cosiddetto step down).

Con sede a Torino, il gruppo Biauto è attivo nella vendita di auto e motocicli, e nell’assistenza ufficiale di veicoli dei brand premium BMW, Mercedes-Benz, MINI, Smart, Jaguar, Land Rover, Triumph e MG. È una delle principali realtà del settore in Piemonte e Liguria, dove conta complessivamente 15 sedi. In particolare, Biauto si occupa della vendita di autovetture e motocicli nuovi ed usati a marchio BMW e MINI, offrendo una gamma completa di veicoli di lusso, ibridi ed elettrici, oltre a servizi di noleggio e manutenzione ordinaria e straordinaria. La società svolge infine attività di rivendita e distribuzione di componenti e ricambi ufficiali.
